Terms of Service
These Terms govern access to and use of the DA Chang restaurant operations platform provided by DA Chang AI Technology LLC.
Effective September 15, 2026
1. Agreement and authority
By creating an account, accepting an invitation, connecting a third-party service, or using the platform, you agree to these Terms. If you act for a restaurant or other organization, you represent that you have authority to bind it. If you do not agree, do not use the platform.
2. The service
The platform may provide menu and floor-plan management, QR ordering, staff access, table sessions, kitchen and receipt printing, payments, refunds, discounts, timekeeping, scheduling, reports, marketing tools, and related features. Features may change, and some integrations require separate accounts, hardware, approvals, internet access, or third-party fees.
3. Accounts and authorized users
You are responsible for accurate account information, role assignments, staff PIN security, trusted devices, and all activity under your accounts. Owner and manager accounts must be used only by authorized people. Notify us promptly of suspected unauthorized access.
You must have permission to submit staff, guest, menu, business, payment, and marketing information to the platform and to instruct us to process it.
4. Restaurant responsibilities
The restaurant is responsible for menu accuracy, prices, allergens, taxes, tips, discounts, employment practices, timekeeping review, payroll decisions, customer service, refunds, legal notices, food safety, alcohol compliance, accessibility, and all other obligations of its business.
The platform’s tax, payroll, tip, scheduling, and reporting tools are operational aids and are not legal, accounting, tax, or employment advice. Restaurants should review results and consult qualified professionals when appropriate.
5. Payments and third-party services
Payment services are provided through Stripe and may be subject to Stripe’s terms, verification, processing fees, reserves, payout schedules, disputes, and account restrictions. You authorize the platform to send transaction instructions selected by authorized users. DA Chang is not a bank and does not guarantee settlement or payout timing.
Google Ads, Google Business Profile, cloud hosting, device platforms, printers, and other integrations are governed by their providers’ terms and availability. We are not responsible for changes, suspensions, approval decisions, or outages controlled by those providers.
6. Google marketing features
An authorized owner or manager may connect an existing Google account and select the Google Ads account and Business Profile location to use. You represent that you have permission to manage those resources.
You remain responsible for advertising claims, images, offers, targeting, budgets, billing, compliance, and final approval. Automated or suggested copy may contain errors and must be reviewed. We do not guarantee impressions, clicks, customers, revenue, ranking, or any advertising result.
Unless clearly stated otherwise in the interface, new Google Ads campaigns created by the platform are initially paused for review. Business Profile posts may publish immediately after your confirmation. Revoking platform access does not automatically remove content previously created in Google.
7. Acceptable use
You may not use the service to violate law; infringe rights; mislead customers; distribute malware; bypass security; probe or disrupt systems; access another restaurant’s data; abuse payment, advertising, messaging, or notification systems; or promote prohibited, unsafe, discriminatory, or fraudulent products or conduct.
8. Content and intellectual property
You retain ownership of content you submit. You grant DA Chang a limited license to host, reproduce, format, translate, transmit, display, and otherwise process that content only as needed to provide, secure, support, and improve the service and integrations you select.
DA Chang and its licensors retain ownership of the platform, software, design, documentation, and related intellectual property. These Terms do not grant rights except the limited right to use the service while authorized.
9. Availability and disclaimers
We work to provide a reliable service, but the platform is provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Restaurants should maintain reasonable offline procedures for ordering, payments, printing, and business continuity.
10. Limitation of liability
To the fullest extent permitted by law, DA Chang will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, advertising spend, or business interruption arising from the service or third-party services. Any direct liability will be limited to amounts paid to DA Chang for the affected service during the twelve months before the event giving rise to the claim.
11. Suspension and termination
We may suspend or terminate access for security risks, unlawful activity, nonpayment, material breach, third-party platform requirements, or conduct that threatens the service or others. You may stop using the service and request account closure. Certain provisions and legally required records survive termination.
12. Governing law and changes
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. Courts with jurisdiction in Washington will have jurisdiction over disputes unless applicable law requires otherwise.
We may update these Terms as the service changes. We will update the effective date and provide additional notice when required. Continued use after an update becomes effective constitutes acceptance.
